PriorityPal Terms of Use

These Terms of Use (“Terms”) govern your access to and use of PriorityPal, a mobile application developed and published by THINKINGING LLC (“THINKINGING LLC,” “we,” “us,” or “our”).

By downloading, installing, accessing, or using PriorityPal, you agree to these Terms. If you do not agree to these Terms, please do not use the app.

1. About PriorityPal

PriorityPal is a productivity and organization application designed to help users capture tasks, ideas, concerns, and notes and organize them into priorities.

PriorityPal may suggest a priority for an item, but the user remains in control of the final decision. PriorityPal suggests. You decide.

2. Eligibility

You may use PriorityPal only if you are legally permitted to enter into these Terms and use the app under applicable law.

If you use PriorityPal on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.

3. License to Use PriorityPal

Subject to these Terms, THINKINGING LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use PriorityPal for lawful personal or business productivity purposes.

This license does not transfer ownership of PriorityPal or any of its intellectual property to you.

4. Ownership and Intellectual Property

PriorityPal, including its software, design, branding, graphics, text, features, and other content provided by THINKINGING LLC, is owned by or licensed to THINKINGING LLC and is protected by applicable intellectual property laws.

Except as permitted by applicable law, you may not copy, modify, distribute, sell, license, reverse engineer, create derivative works from, or otherwise exploit PriorityPal or its content without our permission.

5. Your Content and Local Data

You may enter tasks, notes, ideas, concerns, and other information into PriorityPal (“User Content”). You retain responsibility for your User Content.

PriorityPal is designed to store this content locally on your device. THINKINGING LLC does not claim ownership of the tasks, notes, or other content you create in PriorityPal.

You are responsible for maintaining appropriate security for your device and your locally stored information.

6. Backup and Restore

PriorityPal may provide features that allow you to create a backup file containing your app data. PriorityPal does not automatically upload your backup file to THINKINGING LLC or to a cloud storage service.

You are responsible for creating, storing, and protecting your backup files. If you choose to save, send, or upload a backup file through email, cloud storage, or another third-party service, your use of that service is subject to that service's own terms and privacy practices.

While we may provide backup and restore functionality, THINKINGING LLC does not guarantee that data can always be recovered following device loss, damage, deletion, corruption, software failure, user error, or other circumstances.

7. Priority Suggestions and User Decisions

PriorityPal is intended to assist with organization and productivity. Any priority classification, suggestion, reminder, or other organizational assistance provided by PriorityPal is informational only.

You remain responsible for evaluating your circumstances and deciding what actions to take, when to take them, and whether a PriorityPal suggestion is appropriate for you.

8. No Professional or Emergency Advice

PriorityPal is not intended to provide medical, legal, financial, mental health, safety, emergency, or other professional advice.

Do not rely on PriorityPal as a substitute for qualified professional advice or emergency services. If a situation involves an emergency or immediate risk to health or safety, contact the appropriate emergency service or qualified professional.

9. Acceptable Use

You agree to use PriorityPal only for lawful purposes. You may not use the app to violate applicable law; interfere with or disrupt the app or its security; attempt to gain unauthorized access to systems associated with the app; distribute malicious software through the app; or copy, modify, redistribute, or commercially exploit the app except as permitted by these Terms or applicable law.

10. Third-Party Services

PriorityPal may allow your device to interact with third-party services, such as email applications, file-sharing tools, or cloud storage services, when you choose to use those services.

THINKINGING LLC does not control those third-party services and is not responsible for their availability, security, content, terms, or privacy practices. Your use of a third-party service is governed by the terms and policies of that service.

11. Updates and Changes to PriorityPal

We may update, modify, improve, add, suspend, or remove features of PriorityPal from time to time. We do not guarantee that PriorityPal or any particular feature will always be available or compatible with every device or operating system.

12. Availability and Disclaimer of Warranties

To the fullest extent permitted by applicable law, PriorityPal is provided “as is” and “as available.”

THINKINGING LLC does not warrant that PriorityPal will always operate without interruption, delay, error, data loss, or security issues, or that every suggestion or feature will meet every user's requirements.

Nothing in these Terms limits any warranty or consumer right that cannot legally be excluded.

13. Limitation of Liability

To the fullest extent permitted by applicable law, THINKINGING LLC and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, PriorityPal.

This includes, where permitted by law, loss of data, loss of profits, loss of business opportunities, or other intangible losses.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

14. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless THINKINGING LLC and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful misuse of PriorityPal or your material violation of these Terms.

15. Suspension or Termination

We may suspend or terminate access to PriorityPal where reasonably necessary because of misuse, violation of these Terms, legal requirements, security concerns, or discontinuation of the app.

You may stop using PriorityPal at any time by uninstalling the app. Provisions that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, limitations of liability, and governing law—will survive termination.

16. Privacy

Your use of PriorityPal is also subject to the PriorityPal Privacy Policy, which describes PriorityPal's privacy and data practices.

17. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Nothing in these Terms deprives you of mandatory consumer protections that apply to you under applicable law.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

19. Entire Agreement

These Terms, together with the PriorityPal Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement between you and THINKINGING LLC concerning your use of PriorityPal.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes to PriorityPal, our practices, or applicable requirements.

The current version will be posted on the THINKINGING LLC website with the date of the latest update. Your continued use of PriorityPal after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
